Terms of Service

These Terms of Service ("Terms") govern your use of the EmergeRank Shopify application and website at emergerank.com (collectively, the "Service"), operated by EmergeRank ("we", "us", or "our").

By installing the EmergeRank app or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Description of Service

EmergeRank is an AI-powered SEO content automation tool for Shopify store owners. The Service automatically generates and publishes SEO-optimized blog posts to your Shopify store on a scheduled basis, using keyword research and AI content generation technology.

The Service includes:

• Automated keyword research based on your store niche and products
• AI-generated SEO blog content tailored to your store
• Automated or approval-based publishing to your Shopify blog
• Weekly content suggestion notifications via email
• Monthly performance summary reports
• A dashboard for managing your content calendar and settings

2. Eligibility and Account

To use EmergeRank you must:

• Have an active Shopify store
• Be at least 18 years of age
• Have the authority to bind your business to these Terms
• Provide accurate information during the installation and setup process

Your EmergeRank account is linked to your Shopify store. You are responsible for maintaining the security of your Shopify account and for all activity that occurs under your account.

3. Subscription and Billing

EmergeRank is offered as a subscription service with the following plans:

• Starter — $99 per month
• Growth — $199 per month
• Agency — $499 per month

All subscriptions include a 14-day free trial. You will not be charged during your trial period. After the trial period ends, your subscription will automatically renew at the plan rate unless you cancel before the trial ends.

All billing is processed through Shopify's native Billing API. By subscribing, you authorize Shopify to charge your payment method on file on a recurring monthly basis. EmergeRank does not directly collect or store your payment information.

Subscription fees are billed in advance on a monthly basis. There are no refunds for partial months of service. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

4. Refund Policy

We offer a full refund within 14 days of your first paid charge if you are not satisfied with the Service. To request a refund, contact us at hello@emergerank.com within 14 days of your first charge.

After the 14-day refund window, subscription fees are non-refundable. Cancellation stops future charges but does not generate a refund for the current billing period.

5. Cancellation

You may cancel your subscription at any time directly from the Billing section of your EmergeRank dashboard within Shopify, or by uninstalling the EmergeRank app from your Shopify store.

Upon cancellation, your access to the Service will continue until the end of your current billing period. After that, your account will be deactivated and your data will be deleted within 48 hours in accordance with our Privacy Policy.

We reserve the right to terminate or suspend your account if you violate these Terms, misuse the Service, or engage in fraudulent activity.

6. Acceptable Use

You agree to use EmergeRank only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to generate content that is illegal, defamatory, harassing, or fraudulent
• Attempt to reverse engineer, copy, or replicate the EmergeRank platform or its AI models
• Use the Service in any way that could damage, disable, or impair our infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to publish content that violates Shopify's terms of service or acceptable use policies
• Resell or sublicense access to the Service without our written permission

7. Content and Intellectual Property

Content generated by EmergeRank and published to your Shopify store is owned by you. We do not claim any intellectual property rights over the blog posts, titles, or content created for your store.

You are responsible for reviewing content published to your store, particularly if you use Autopilot mode. While we take care to generate accurate and appropriate content, we cannot guarantee that all AI-generated content will be error-free, factually accurate, or suitable for your specific audience. You are responsible for the content that appears on your store.

EmergeRank, its logo, and all related technology, software, and intellectual property are owned by EmergeRank. You may not use our name, logo, or branding without our written permission.

8. AI-Generated Content Disclaimer

EmergeRank uses artificial intelligence to generate blog content for your store. You acknowledge and agree that:

• AI-generated content may occasionally contain inaccuracies or errors
• We do not guarantee that AI-generated content will achieve specific search rankings or traffic results
• SEO results depend on many factors outside our control, including Google's algorithms, your store's domain authority, and competition in your niche
• You are responsible for reviewing content before it is published, particularly in Approval mode
• We recommend periodically reviewing published content for accuracy and relevance

EmergeRank is a tool to assist with content creation. It is not a substitute for human editorial judgment and should not be used as such for medical, legal, financial, or other professional advice content.

9. Service Availability

We aim to maintain the EmergeRank Service with high availability, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. In the event of discontinuation, we will provide at least 30 days notice by email and will not charge for the final billing period.

10. Limitation of Liability

To the maximum extent permitted by applicable law, EmergeRank shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to us in the three months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will meet your specific requirements, that it will be uninterrupted or error-free, or that any specific SEO results will be achieved.

12. Indemnification

You agree to indemnify, defend, and hold harmless EmergeRank and its affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Third-Party Services

EmergeRank integrates with third-party services including Shopify, Anthropic, DataForSEO, Supabase, and Resend. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of any third-party services.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction.
